Introduction

Welcome to ThinkCode. These Terms of Service ("Terms") govern your access to and use of the ThinkCode application and website (collectively, the "Service"), operated by ThinkCode, Inc. ("ThinkCode," "we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Account Registration

Account Creation

To access certain features of the Service, you must create an account. When registering, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Requirements

You must be at least 16 years old to create an account. By creating an account, you represent and warrant that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into these Terms
  • You will use the Service in accordance with these Terms
  • You will comply with all applicable laws and regulations

Subscription Plans

Subscription Services

ThinkCode offers various subscription plans with different features and pricing. Details of current offerings are available on our pricing page.

Billing Terms

All subscriptions are billed in advance according to your chosen to bill cycle (monthly or annual). Unless otherwise stated:

  • Payments are non-refundable
  • No refunds or credits for partial subscription periods
  • Subscription fees are subject to change with 30 days' notice

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period.

Acceptable Use

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for:

  • Software development and related activities
  • Generating, editing, and analyzing code
  • Collaborating with team members
  • Other purposes explicitly authorized by ThinkCode

Prohibited Activities

You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Infringe the intellectual property rights of ThinkCode or others
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service to develop competing products or services
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to generate harmful, malicious, or illegal code
  • Interfere with or disrupt the Service or servers
  • Circumvent usage limitations or access restrictions

User Content

Your Content

You retain ownership of all code, documentation, and other materials you create, upload, or process using the Service ("User Content"). You grant ThinkCode a limited license to use, store, and process your User Content solely to provide, maintain, and improve the Service.

AI Model Training

With your explicit consent (which you can provide or revoke in your account settings), you grant ThinkCode permission to use anonymized code patterns from your User Content to train and improve our AI models. We implement measures to remove personally identifiable information and sensitive data before using content for training.

Content Restrictions

You are solely responsible for your User Content. You must not submit User Content that:

  • Infringes intellectual property rights
  • Contains confidential information you're not authorized to share
  • Violates the privacy or rights of any person
  • Contains malicious code or exploits
  • Is illegal or promotes illegal activities

Intellectual Property

ThinkCode IP

The Service, including its software, features, and content provided by ThinkCode (excluding User Content), is owned by ThinkCode and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service, ThinkCode's trademarks, or other intellectual property.

Feedback

If you provide feedback about the Service, you grant ThinkCode a perpetual, irrevocable, worldwide license to use that feedback without restriction or compensation.

Termination

By You

You may terminate your account at any time by following the instructions in your account settings.

By ThinkCode

ThinkCode may suspend or terminate your access to the Service, without prior notice or liability, for:

  • Breach of these Terms
  • Illegal or harmful use of the Service
  • Non-payment of subscription fees
  • Extended periods of inactivity
  • At our reasonable discretion

Effect of Termination

Upon termination:

  • Your right to access and use the Service ceases immediately
  • ThinkCode may delete your account and User Content
  • Any outstanding payment obligations remain in effect
  • Provisions of these Terms that by their nature should survive will survive

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ThinkCode does not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time
  • The results from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service is free of viruses or other harmful components

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THINKCODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CODE OR CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL THINKCODE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO THINKCODE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless ThinkCode and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco, California.

General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and ThinkCode regarding your use of the Service, superseding any prior agreements.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Assignment

You may not assign these Terms without ThinkCode's prior written consent. ThinkCode may assign these Terms without restriction.
